TERMS AND CONDITIONS
Effective Date: September 1, 2026
Last Updated: October 17, 2026
These Terms and Conditions (these "Terms") constitute a legally binding agreement between you and DreamFit Collective LLC, a Florida limited liability company ("DreamFit Collective," "we," "us," or "our"), governing your access to and use of the DreamFit Collective platform, website, and services (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Platform.
Note for Hiring Partners: Your access to and use of Verified Instructor profiles is governed by the Hiring Partner Terms and Conditions. These Terms apply as specified in the Hiring Partner Terms and Conditions
Article 1 — Definitions
For purposes of these Terms, the following capitalized terms have the meanings set forth below:
I. "Hiring Partner" means any entity that has entered into the DreamFit Collective Hiring Partner Terms and Conditions to access Verified Instructor profiles with DreamFit Collective to access verified Instructor profiles for hiring, engagement, or related business purposes, including but not limited to cruise lines, hospitals, hotels, gyms, country clubs, fitness studios, wellness resorts, and brands.
II. "Instructor" means any fitness or wellness professional who has registered on the Platform, completed the opt-in and authorization process, and submitted information for verification.
III. "Verified Instructor" means an Instructor who has completed DreamFit Collective's identity and eligibility verification — an access gate confirming that the individual is a real, working fitness or wellness professional eligible to join the closed network — and whose instructor-authored profile and any applicable issuer- or venue-attested content have been made available to Hiring Partners through the Platform's closed network. Such verification is a gate for network access and identity confirmation only; it is not an assessment, evaluation, investigation, or endorsement by DreamFit Collective of the Instructor's fitness, suitability, or qualifications for any position.
IV. "User" or "you" means any individual or entity accessing or using the Platform, including Instructors, Hiring Partners, and visitors.
V. "Verification Data" means instructor-provided information and issuer- or venue-attested content relating to an Instructor's certifications, employment history, retreats, trainings, events, brand work, and insurance status (as submitted by the Instructor and/or attested by the applicable insurer) that DreamFit Collective hosts and renders. DreamFit Collective displays such content as submitted by the Instructor or as attested by the applicable issuer or venue, and does not independently investigate, adjudicate, evaluate, or assemble it into a consumer report or other evaluative report.
VI. "Public Source Data" means information obtained from publicly available sources, including class schedules, certification registries, event listings, and similar materials, used by DreamFit Collective solely on an internal basis to supplement and cross-check instructor-provided information, and not used as the system of record or presented to Hiring Partners as DreamFit Collective's verification.
VII. "API Data" means data obtained through third-party application programming interfaces licensed by DreamFit Collective, including Instagram and YouTube audience data obtained through licensed third-party data providers.
VIII. "Attester" means any studio, certification body, venue, event organizer, or other entity that submits an attestation through or in connection with the Platform for display on an Instructor’s profile.
IX. "Attestation" means a statement or confirmation submitted by an Attester regarding an Instructor’s certification, employment or engagement history, event or retreat participation, or other facts reflected on the Instructor’s profile.
Article 2 — Platform Description and Scope
I. Overview. DreamFit Collective is a closed, professional network that hosts instructor-authored profiles and issuer attestations and provides Hiring Partners with tools to search and access profiles and initiate messages to Instructors. DreamFit Collective does not furnish consumer reports or investigative consumer reports and does not provide evaluative, adjudicative, or eligibility determinations about any Instructor.
II. Closed Network; No Public Directory. The Platform operates as a closed network accessible only to authorized Users. We do not maintain a public directory, publicly searchable profiles, or any publicly indexed database of Instructors. Instructor profiles are not displayed publicly, resold, or made available to any third party except Hiring Partners in accordance with these Terms and applicable separate agreements. Hiring Partners may search and access profiles and initiate messages to selected Instructors through the Platform. DreamFit Collective communicates Hiring Partner messages to selected Instructors; it does not sell, furnish, or deliver candidate reports or compiled dossiers to Hiring Partners.
III. Data Sources. DreamFit Collective compiles Verification Data and related information from four principal sources:
A. Instructor-Provided Data. Information submitted directly by Instructors who have opted in and authorized collection.
B. Primary Source Attestations. Statements made by certification bodies, event or retreat organizers, studios, or other issuers regarding credentials or engagements, which are displayed as the issuer’s or venue’s statements, not DreamFit Collective’s.
C. Public Source Supplementation. References to public-source materials may be used for internal quality controls; public-source materials are not used as the system of record and are not presented as DreamFit Collective’s verification.
D. Third-Party API Data. API Data obtained through licensed third-party services providing Instagram and YouTube audience data under partner-level access granted by those platforms may appear in profiles as descriptive, non-evaluative information. Such signals are not used to score, rank, or opine on any Instructor. DreamFit Collective does not assemble or furnish evaluative reports, scores, rankings, reliability indicators, adverse information flags, or other judgments about Instructors. At launch, such third-party audience/API signals are retained internally only and are not displayed to Hiring Partners. If such signals are ever displayed, they will appear solely as raw descriptive metrics attributed to the source platform and never as DreamFit Collective evaluations.
IV. Internal Records; Pre-Outreach Assembly. DreamFit Collective may assemble records internally from Public Source Data and other available information prior to contacting Instructors to invite them to join the Platform. Such records remain internal-only and are not shared with Hiring Partners or any third party unless and until the Instructor opts in, completes verification, and becomes a Verified Instructor.
V. Attester Terms. Submission of any Attestation is subject to the Attester Terms presented at the point of submission, which are incorporated by reference into these Terms for Attesters. In the event of a direct conflict between the Attester Terms and these Terms on an attestation-specific issue, the Attester Terms control for that issue; in all other respects, these Terms control
Article 3 — Eligibility and Account Registration
I. Age and Capacity; US-Only Eligibility. You must be at least eighteen years of age and possess the legal capacity to enter into a binding contract in order to use the Platform. By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements. The Platform is operated from, and intended for use in, the United States. At this time, only Instructors who are based in the United States are eligible to register, complete verification, and publish profiles.
II. Account Creation. Certain features of the Platform, including Instructor registration and Hiring Partner access, require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy.
III. Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
IV. Separate Hiring Partner Agreements. Access to Verified Instructor profiles as a Hiring Partner requires acceptance of the DreamFit Collective Hiring Partner Terms and Conditions. These Terms govern general use of the Platform; the Hiring Partner Terms and Conditions govern Hiring Partner access and use of Verified Instructor profiles and related obligations. In any conflict on matters specific to Hiring Partners, the Hiring Partner Terms and Conditions control.
V. Registration Certification. By registering as an Instructor, you certify that you are a fitness or wellness professional (or are otherwise eligible under these Terms), that you are based in the United States, and that the information you provide in connection with registration and verification — including your professional credentials — is accurate and complete.
VI. Accounts Personal; No Transfer. Your account is personal to you. You may not sell, share, or transfer your account, and you may not register an account on behalf of another person without that person’s authority.
Article 4 — Instructor Opt-In, Authorization, and Verification
I. Voluntary Opt-In. Participation is voluntary. Instructors elect whether to publish their profile and authorize DreamFit Collective to display instructor-authored content and applicable issuer or venue attestations.
II. Authorization to Collect and Verify. By opting in, you authorize DreamFit Collective to:
A. Receive and host information you provide directly through the Platform.
B. Facilitate and display on-platform attestations or confirmations made by credential issuers, event/retreat organizers, studios, or other venues, where available, as the issuer’s or venue’s own statements.
C. Reference public-source materials internally for quality controls without presenting such materials as DreamFit Collective verification.
D. Include limited third-party API signals as descriptive, non-evaluative profile elements where you have consented. DreamFit Collective does not conduct investigative background checks, does not contact employers to produce an employment verification report on DreamFit Collective’s behalf, and does not furnish any evaluative or eligibility determinations.
E. No Screening Results on Profiles. DreamFit Collective does not order, receive, store, display, or otherwise make available any background‑screening results, indicators, flags, or badges on any Instructor profile. Any background screening arranged by a Hiring Partner occurs outside the Platform and directly between the Hiring Partner and its selected third‑party provider, and DreamFit Collective is not a party to such screening
III. Instructor Control. You control whether issuer/venue attestations appear on your profile. All attestations are labeled as the issuer’s or venue’s statements. DreamFit Collective hosts these statements without adopting, endorsing, or warranting them.
IV. Authorization to Share. By opting in and completing verification, you authorize DreamFit Collective to share your Verified Instructor profile with Hiring Partners through the Platform's closed network for hiring, engagement, and related business purposes. You acknowledge and agree that DreamFit Collective will make your profile available only to Hiring Partners who are contracted accounts and that Instructors who have not opted in or completed verification remain invisible to Hiring Partners.
V. Accuracy of Information. You represent and warrant that all information you provide to DreamFit Collective is accurate, current, and complete. You agree to promptly update your profile to reflect any changes to your certifications, employment history, insurance status, or other Verification Data. You may review, correct, or update your profile information at any time through your account settings, and you may request correction or removal of any profile data, including any issuer or venue attestation displayed on your profile, by contacting us at legal@joindreamfit.com. DreamFit Collective will address such requests promptly and, where an attestation is disputed, will annotate, correct, or remove the item pending resolution with the issuer or venue that made it. Issuer and venue attestations remain the statements of the issuer or venue, and DreamFit Collective does not adjudicate their accuracy.
VI. Withdrawal of Authorization. You may withdraw your authorization and request removal of your profile from the Platform at any time by contacting us at legal@joindreamfit.com. Upon receipt of such request, we will cease sharing your profile with Hiring Partners. Any confidentiality obligations of Hiring Partners with respect to your profile content shall survive your withdrawal, and the deletion or retention of your data will be handled in accordance with our Privacy Policy and applicable law.
VII. Verification as a Condition; Re-Verification. Completing DreamFit Collective’s identity and eligibility verification — and consenting to its methods, including identity confirmation, communications with certification bodies, studios, event or retreat organizers, and other issuers or venues for on-platform attestations, and internal cross-checks against publicly available information — is a condition of becoming and remaining a Verified Instructor. DreamFit Collective may re-verify any Instructor from time to time, including upon changes to profile information. If you decline or revoke consent to verification, or verification cannot be completed, DreamFit Collective may decline, suspend, or remove your Verified Instructor status and the associated profile.
VIII. Profile Claiming. Where DreamFit Collective has assembled an internal record relating to a professional (as described in Article 2, Section IV), that record is published as a profile only after the professional registers, claims the record, completes verification, and elects to publish. You may not claim a profile or record that does not belong to you. DreamFit Collective may suspend, reclaim, or reassign any profile claimed in error or in violation of these Terms and may require additional verification to resolve competing claims.
IX. Verification Discretion; Final Authority. DreamFit Collective determines, in its sole discretion, the methods, criteria, scope, and timing of verification; which items of Verification Data it will accept, host, or display; and whether any attestation will be requested, displayed, annotated, or removed. DreamFit Collective may accept, decline, condition, suspend, or revoke any registration, verification, Verified Instructor status, or profile at any time, with or without notice and with or without stated reason, and verification decisions are final. These determinations are administrative decisions about participation in the Platform and the content DreamFit Collective is willing to host and display; they are not an assessment, evaluation, investigation, or endorsement of any person, and they are not communicated to Hiring Partners as any form of evaluation or recommendation.
X. No Obligation to Verify or Monitor; Platform Changes. DreamFit Collective has no obligation to verify any particular item of information, to monitor User Content or attestations, or to detect or correct errors or omissions, and its election to verify, monitor, annotate, or remove any item does not create any such obligation or duty. DreamFit Collective may modify, suspend, or discontinue any feature of the Platform, including the availability or presentation of verification, at any time.
Article 5 — Hiring Partner Access and Obligations
I. Contracted Access. Access is limited to contracted Hiring Partners and consists of search and messaging tools enabling Hiring Partners to identify and message Instructors. DreamFit Collective does not furnish candidate reports or investigative consumer reports.
II. Visibility Limitations. Hiring Partners may access only profiles of Instructors who have joined the Platform and completed verification. Instructors who have not opted in or completed verification are not visible to Hiring Partners, and DreamFit Collective does not share internal-only records or pre-outreach data with Hiring Partners.
III. Confidentiality and Use Restrictions. Hiring Partners agree to:
A. Maintain confidentiality of all profile content accessed through the Platform.
B. Use access solely to search profiles and initiate messages to Instructors for legitimate hiring or engagement purposes under the separate agreement with DreamFit Collective.
C. Not reproduce, redistribute, resell, publicly display, or disclose profile content or attestations to any third party without express written consent of DreamFit Collective and the applicable Instructor.
D. Not use Platform Content as, or in lieu of, a consumer report or investigative consumer report; not rely on Platform Content to satisfy any background-check, screening, verification, or adverse-action obligation under the FCRA or any state or local law; not use Platform Content for any purpose relating to credit, insurance, or housing eligibility. Hiring Partners remain solely responsible for their own eligibility decisions through independent, compliant processes.
E. Independently conduct any required background checks, authorizations, notices, disclosures, and adverse-action processes, and comply with all applicable laws, including the Fair Credit Reporting Act and state/local employment-screening laws.
IV. No Evaluative Outputs: No Reliance. DreamFit Collective does not provide scores, rankings, reliability indicators, adverse information flags, or verified employment history reports. Hiring Partners must not request, require, or rely on such outputs from DreamFit Collective.
V. No Endorsement or Guarantee. DreamFit Collective does not endorse, recommend, or guarantee the qualifications, suitability, availability, or fitness for any particular purpose of any Verified Instructor. Hiring Partners are solely responsible for conducting their own due diligence, interviews, background checks, and assessments prior to engaging or hiring any Instructor.
Article 6 — Use of Public Source Data and Third-Party API Data
I. Public Source Data. DreamFit Collective may collect and use Public Source Data solely to supplement and cross-check Instructor-provided information and support internal quality controls. Public Source Data is not used as the system of record for Verification Data and is not presented as DreamFit Collective’s verification of any Instructor.
II. Third-Party API Data. DreamFit Collective obtains API Data, including Instagram and YouTube audience data, through licensed third-party data providers. By opting in, Instructors acknowledge and consent to DreamFit Collective's use of such API Data in connection with their profiles. Such API Data is descriptive, non-evaluative audience information obtained under licensed partner-level access for advertising and influencer-marketing use cases, and is not used to score, rank, or opine on any Instructor. At launch, API Data is used and retained by DreamFit Collective on an internal basis only and is not displayed to Hiring Partners; partner-facing profiles remain instructor-authored and issuer- or venue-attested only. If DreamFit Collective ever elects to display any such API Data, it will be presented solely as raw descriptive metrics attributed to the source platform (for example, Instagram or YouTube) and never as a DreamFit Collective evaluation, score, ranking, or opinion.
III. No Guarantee of Accuracy or Completeness. Public Source Data and API Data are provided by third parties, and DreamFit Collective does not guarantee their accuracy, completeness, or timeliness. DreamFit Collective is not responsible for errors, omissions, or inaccuracies in Public Source Data or API Data.
Article 7 — Acceptable Use; Prohibited Conduct

Article 8 — No Guarantee of Employment or Hiring; Relationship of Parties
I. No Employment Guarantee. DreamFit Collective does not guarantee that any Instructor will be hired, engaged, or contacted by any Hiring Partner. The Platform facilitates connections between Instructors and Hiring Partners, but all hiring, engagement, and employment decisions are made solely by Hiring Partners in their discretion.
II. No Accuracy Guarantee. DreamFit Collective does not guarantee the accuracy, completeness, reliability, or timeliness of any Verification Data, Public Source Data, API Data, or other information displayed on the Platform. Users are responsible for independently verifying any information obtained through the Platform.
III. Independent Contractors. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between DreamFit Collective and any Instructor, Hiring Partner, or other User. Instructors are not employees or agents of DreamFit Collective. Any engagement or employment relationship arising from connections made through the Platform is solely between the Instructor and the Hiring Partner.
IV. Not an Employment Agency; No Agency. DreamFit Collective is not an employment agency, staffing agency, recruiting firm, or talent agency; does not procure, offer, promise, or attempt to procure employment or engagements for any Instructor; and does not charge Instructors any fee for registration, verification, or access to employment opportunities. Hiring Partners must obtain all required consents and provide all required disclosures directly to Instructors.

IV. Separate Authorization. If a Hiring Partner chooses to procure a consumer report or investigative consumer report from a third-party CRA, all required authorizations, disclosures, notices, and adverse-action processes must be handled by the Hiring Partner with the Instructor and the third-party CRA, independent of DreamFit Collective.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF THE DREAMFIT PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DREAMFIT COLLECTIVE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00).
III. Basis of the Bargain. YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN YOU AND DREAMFIT COLLECTIVE AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. DREAMFIT COLLECTIVE WOULD NOT PROVIDE THE PLATFORM TO YOU WITHOUT THESE LIMITATIONS.
IV. Jurisdictional Limitations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF THE DREAMFIT PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
V. Application to Hiring Partners. This Article 18 applies to Hiring Partners except to the extent the Hiring Partner Terms and Conditions expressly provide different terms for Hiring Partner specific matters, in which case the Hiring Partner Terms and Conditions control.
Article 19 — Indemnification
I. Indemnity Obligation. You agree to indemnify, defend, and hold harmless the DreamFit Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:
A. Your use of or inability to use the Platform.
B. Your violation of these Terms.
C. Your violation of any rights of any third party, including intellectual property rights, privacy rights, or other proprietary rights.
D. Any User Content you submit, post, or transmit through the Platform.
E. Any false, inaccurate, or misleading information you provide to DreamFit Collective or through the Platform.
F. For Hiring Partners, your use of Verified Instructor profiles in any manner that violates applicable law, including employment screening laws, the FCRA, or anti-discrimination laws.
G. Any misrepresentation by you in connection with registration, verification, or your profile, including false, incomplete, or misleading statements regarding your identity, credentials, certifications, employment or engagement history, or insurance status; claiming any profile or record that does not belong to you; or procuring, inducing, or submitting any false or misleading attestation.
H. For Instructors, any services you provide to any Hiring Partner, client, student, or other third party, including claims for bodily injury, death, property damage, professional negligence, or misconduct arising out of or relating to such services, whether brought by the Hiring Partner, a client or student, or any other person.
I. Your negligence, willful misconduct, fraud, or violation of applicable law.
II. Defense and Settlement. DreamFit Collective reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with DreamFit Collective in asserting any available defenses. You may not settle any claim subject to this indemnification obligation without DreamFit Collective's prior written consent.
Article 20 — Dispute Resolution and Arbitration
I. Informal Resolution. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (a "Dispute"), the parties agree to first attempt to resolve the Dispute informally by contacting DreamFit Collective at legal@joindreamfit.com and providing a written description of the Dispute, the relief requested, and your contact information. DreamFit Collective will attempt to resolve the Dispute within sixty (60) days of receipt of your notice.
II. Binding Arbitration. If the parties are unable to resolve the Dispute informally within sixty (60) days, the Dispute shall be resolved by binding arbitration administered by the AMERICAN ARBITRATION ASSOCIATION (AAA) in Miami, Florida. If the Dispute is with or brought by a natural person using the Platform in an individual capacity, the AAA Consumer Arbitration Rules then in effect will apply. If the Dispute is with or brought by a Hiring Partner or other entity, the AAA Commercial Arbitration Rules then in effect will apply. This Article 20 modifies those rules as set forth herein, including the class action waiver, mass‑arbitration batching procedures, and other provisions. Judgment on the arbitration award may be entered in any court having jurisdiction.
III. Exceptions. Notwithstanding the foregoing, either party may bring an action in court:
A. To seek equitable relief for the infringement or other misuse of intellectual property rights.
B. To seek injunctive or other equitable relief to prevent actual or threatened violations of these Terms.
C. For claims that fall within the jurisdiction of small claims court, provided the claim proceeds on an individual basis.
IV. Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DREAMFIT COLLECTIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND DREAMFIT COLLECTIVE AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, CLASS, OR COLLECTIVE PROCEEDING.
V. Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DREAMFIT COLLECTIVE WAIVE ANY RIGHT TO A JURY TRIAL OF ANY CLAIM OR DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM.
VI. Mass Arbitration; Coordinated Batch Procedures. If twenty-five (25) or more claimants file demands for arbitration asserting substantially similar claims and are represented by the same or coordinated counsel, the parties agree that such demands shall be administered and resolved through the following coordinated batch procedures, which are intended to promote the efficient and fair resolution of mass filings and to deter abusive mass-arbitration tactics: (a) the demands shall be grouped into staged batches of no more than fifty (50) claimants each, and only one batch shall be filed, adjudicated, and resolved at a time as a bellwether proceeding; (b) a single arbitrator shall be appointed to preside over each batch, and the parties shall cooperate in the consolidated appointment of arbitrators and the consolidated treatment of administrative and arbitrator fees for that batch; (c) the arbitrator's determinations of common questions of law or fact in a bellwether batch may inform, but shall not bind, the resolution of subsequent batches, and following each batch the parties shall engage in a global mediation before the next batch proceeds; and (d) all applicable statutes of limitations and filing deadlines shall be tolled for the claims of claimants whose demands have not yet been filed or reached in the batch sequence until their respective batches are commenced. This Section does not authorize class, collective, or representative arbitration, which remains prohibited under Section IV. For clarity, the coordinated batch procedures in this Section apply regardless of whether the Consumer or Commercial Arbitration Rules are used.
VII. Right to Opt Out of Arbitration. You may opt out of the arbitration and class action waiver provisions of this Article 20 (the waiver of jury trial in Section V shall continue to apply to any court proceeding) by notifying DreamFit Collective in writing within thirty (30) days after the date you first accept these Terms. Your opt-out notice must be sent to legal@joindreamfit.com and must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you timely opt out, neither you nor DreamFit Collective will be required to arbitrate Disputes under this Article 20, and opting out will not otherwise affect any other provision of these Terms or your continued use of the Platform.
Article 21 — Governing Law and Jurisdiction
I. Governing Law. These Terms and any Dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts of law principles.
II. Jurisdiction and Venue. To the extent any Dispute is not subject to arbitration under Article 20, the parties agree that such Dispute shall be brought exclusively in the state or federal courts located in Miami, Florida, and each party irrevocably consents to the personal jurisdiction and venue of such courts.
Article 22 — Changes to These Terms
I. Right to Modify. DreamFit Collective reserves the right, in its sole discretion, to modify or replace these Terms at any time. If we make material changes to these Terms, we will provide notice by posting the updated Terms on the Platform and updating the "Last Updated" date at the top of these Terms. We may also notify you by email or other reasonable means.
II. Effective Date of Changes. Changes to these Terms will be effective immediately upon posting for new Users. For existing Users, material changes will be effective thirty (30) days after posting or such other notice period as we specify.
III. Continued Use Constitutes Acceptance. Your continued access to or use of the Platform after the effective date of any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform.
IV. Review Obligation. It is your responsibility to review these Terms periodically for updates. We encourage you to check the "Last Updated" date each time you access the Platform.
Article 23 — Miscellaneous Provisions
I. Entire Agreement. These Terms, together with our Privacy Policy and any separate written or click-through agreements between you and DreamFit Collective (including, as applicable, the Hiring Partner Terms and Conditions for Hiring Partners and the Attester Terms for Attesters), constitute the entire agreement between you and DreamFit Collective regarding the subject matter hereof and supersede all prior or contemporaneous understandings. In the event of any conflict between these Terms and (a) the Hiring Partner Terms and Conditions with respect to matters specific to Hiring Partners, the Hiring Partner Terms and Conditions will control; or (b) the Attester Terms with respect to matters specific to Attestations or Attesters, the Attester Terms will control; in all other respects, these Terms control.
II. Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and DreamFit Collective's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
III. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent.
IV. Assignment. You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without the prior written consent of DreamFit Collective. DreamFit Collective may assign, transfer, or delegate these Terms or any rights or obligations hereunder at any time without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment, transfer, or delegation in violation of this Section shall be null and void.
V. No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties hereto and their permitted successors and assigns, and nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever.
VI. Force Majeure. DreamFit Collective shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
VII. Headings. The headings and captions used in these Terms are for convenience only and shall not affect the interpretation of these Terms.
